JANUARY 2019 REFERRAL AIR CANADA GIFT CERTIFICATE (the “Promotion”)

 

OFFICIAL RULES AND REGULATIONS (“RULES”)

 

Participation in the Promotion constitutes full and unconditional agreement and acceptance by each participant of the Rules, which are final on all matters relating to the Promotion. The Promotion is available to residents of Canada, other than residents of Quebec.

 

  1. START AND END DATE:

The Promotion begins at 12:01 a.m. local time on January 1, 2019 (“Promotion Start Date”), and ends at 11:59 p.m. local time on January 31, 2019 (the “Promotion End Date”) (collectively, the "Promotion Period") at each Participating Club.

 

  1. PRIZE:

The prize consists of one (1) Air Canada Gift Certificate (the “Prize”) which has a retail value of $10,000.00 (actual cost to GOODLIFE may be less). The Prize can be used to purchase airline tickets or travel options Air Canada Vacation. The Prize does not have an expiry date, however, after five (5) years of inactivity you will need to have the card re-issued. To have an inactive card re-issued, please contact Air Canada Customer Relations.

 

The Prize can be redeemed at vacations.aircanada.com, at airport locations in Canada, select airport locations in the U.S., through Canadian or U.S. Call Centers, or through a travel agent if the booking is made at aircanada.com/agents. The Prize is accepted for payment when completing a purchase on the Canadian or U.S. Editions of aircanada.com. Neither GoodLife nor Air Canada is responsible for lost, stolen or destroyed Prizes. However, if you report a lost, stolen or destroyed card, it may be replaced with the remaining balance upon proof of purchase and gift card number by Air Canada.

 

The Prize may not be used towards any mileage accumulation program, or any frequent flyer program. Air fare and hotel are subject to availability. The winning Participant and his/her guests are solely responsible for all costs not expressly described herein including, without limitation, all air departure taxes, in-flight meals, beverages, headsets, in-flight entertainment, optional seat selection, additional checked-in luggage surcharge, ground transportation, gratuities, optional excursions, merchandise, telephone calls, insurance (including rental car insurance, if required) together with any required travel documentation, all personal expenses of any kind or nature, additional meals, beverages, together with any applicable overnight layover.

 

The prize must be accepted by the winning participant as awarded, is not assignable, and cannot be exchanged or substituted or combined with any other offer. Prize is not redeemable for cash or credit in part or whole.

 

  1. HOW TO PARTICIPATE:

An entry ballot (“Entry”) may be obtained from a GoodLife Associate at a Participating Club when a GoodLife member (“Participant”) refers a friend during the Promotion Period, which allows the referred friend access to the club for one (1) week at no cost. The Entry, with all information completed on it, may then be deposited in the Ballot Box within the Participating Club. No duplicates, copies or facsimiles of Entries will be accepted. A Participant can obtain additional Entries by referring additional friends during the Promotion Period. There is no limit on the number of Entries that a Participant can obtain during the Promotion Period by making referrals.

 

No Purchase Necessary: There is no purchase necessary to participate in the Promotion.

  1. CHANCES OF WINNING:

The chances of winning the Prize depends on the total number of entries submitted during the Promotion Period.

 

  1. AWARDING OF PRIZES:

A Participating Club will be selected at random and that Club will hold a random draw (the “Prize Draw”) at 9:00 a.m., local time on the next business day following the Promotion End Date. The first Participant whose Entry is drawn from the validly completed Entries received during the Promotion Period will be eligible to win the Prize, subject to fulfilment of all of the requirements of this Promotion. Entries must be received by no later than 11:59 p.m. local time on the Promotion End Date to participate in the Prize Draw. Entries must be completed in full in order to be accepted and entered for the Prize Draw.

GoodLife will attempt to contact the Participant whose Entry is drawn by phone number, address or e-mail address listed on the winning Entry between 9:00 a.m.- 5:00 p.m. (local time), for a period of two (2) days after the draw date or if any redetermination has occurred, if necessary. If all conditions to receive a Prize are not completely satisfied within the time frame specified above, GoodLife may conduct a further random draw to determine a further potential Prize winner until the available Prize has been awarded. The determination process will continue until the Prize has been awarded, or one month following the Promotion End Date, whichever is sooner. Any Participant whose name is drawn for a Prize must: (i) on request review and complete a liability/publicity release and satisfy all applicable Rules to be eligible to receive the Prize; and (ii) correctly answer, unaided, a time-limited mathematical skill-testing question.

  1. ELIGIBILITY:

The Promotion is open to current members who are legal residents of Canada, other than residents of Quebec, who are also of the age of majority in their respective Province or Territory of residence, and have any and all necessary documentation as may be required for presentation to Canadian and international customs and airport personnel. The Promotion is NOT open to employees, representatives or agents of GOODLIFE or its subsidiaries, affiliates, franchisees, advertising and promotional agents (collectively the “Sponsors”), and members of their respective families and persons with whom they are domiciled.

 

GOODLIFE shall have the right at any time to require proof of identity and/or eligibility to participate in the Promotion. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to GOODLIFE for the purpose of the Promotion must be truthful, complete, accurate and in no way misleading. GOODLIFE reserves the right, in its sole discretion, to disqualify any entrant should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information or who fails to comply with these Rules.

 

  1. RELEASE

By participating in the Promotion, each Participant releases GoodLife, all GoodLife franchisees/licensees, and their respective officers, directors, employees, representatives, licensees, advertising and other agents, of and from any and all claims whatsoever which Participant, Participant’s heirs, estate trustees or other personal legal representatives or assigns, have or may have arising out of or in any way related to the Promotion and/or the Prize.

 

  1. GENERAL RULES:

GOODLIFE reserves the right to terminate, cancel, suspend and/or modify the Promotion without liability and without prior notice if any factor interferes with its operation as contemplated by these Rules, including but not limited to any fraud, virus, or other technical problem which corrupts the administration, security, or proper operation of the Promotion. GOODLIFE is not responsible for theft, defects, and human errors, including negligence, which may result in the failure of GOODLIFE to award the Prize. By participating in the Promotion, Participants: (a) agree to comply with and be bound by these Rules and the decisions of GOODLIFE, which shall be binding and final in all respects; (b) release Sponsors from all liability, loss, harm damages, cost or expense arising out of participation in the Promotion, participation in any Promotion-related activity or the acceptance, use, or misuse of any Prize; (c) grant to the Sponsors the right to use his/her name, mailing address, telephone number, and email address (“Personal Information”) for the purpose of administering the Promotion, including but not limited to contacting and announcing the winner and agree to be contacted by the Sponsors by mail, telephone and/or email; (d) grant to the Sponsors the right to use his/her Personal Information for publicity and promotional purposes relating to the Promotion, in any and all media now known or hereafter devised, without further compensation, unless prohibited by law; (e) acknowledges that the Sponsors may disclose his/her Personal Information to third-party products or services provided to Prize Winners.

 

The Promotion is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. All incidental costs and expenses not specifically referred to herein, including but not limited to taxes (other than GST or HST and PST where applicable which are included in the Prize), are the sole responsibility of the winner. No cash or other substitutions may be made, except by Sponsors, who reserve the right, in their sole discretion, to substitute a Prize with another prize of greater or equal value in the event that the Prize is unavailable or cannot otherwise be awarded as described. Any and all disputes, claims and causes of action arising out of or connected with the Promotion, or any Prize awarded, shall be resolved individually, without resort to any form of class action. Claims, judgements and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event legal fees or disbursements. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participant and Sponsors in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules. Should any provision of these Rules be deemed unenforceable or invalid, the other provisions of these Rules shall remain in full force and effect. Sponsors’ failure to enforce any provision of these Rules shall not constitute a waiver of that or any other provision.

 

Each potential winner will be required to sign GOODLIFE’s form of Declaration of Compliance and Release which confirms compliance with the rules and releases GOODLIFE and any Sponsors from all liability with respect to the Participant’s participation in this Promotion and the awarding, use and misuse of the Prize. The executed Declaration of Compliance and Release must be returned within two (2) business days of the verification as a Winner or the selected entrant will be disqualified and the Prize forfeited.
