"New Club Promotion" (the "Promotion")

Official Rules and Regulations ("Rules")

Participation in the Promotion constitutes full and unconditional agreement and acceptance by each participant of the Rules, which are final on all matters relating to the Promotion.

Participating Clubs: This Promotion is available at all GoodLife Fitness new club locations throughout Canada, excluding Quebec (the “Participating Club(s)”).

  1. End Date:

The Promotion ends at 5 p.m. local time, at each Participating Club, on the day before the Participating Club opens (the “Promotion End Date”).

  1. How to participate:

Entry ballots (“Entry”) may be obtained by entering online at www.goodlifefitness.com/newclubs and selecting a Participating Club (one Entry), or by completing a ballot at a new club showroom or pre-sales trailer.

Entry ballots must be completed in full in order to be accepted and entered for the Prize Draw.

No Purchase Necessary: There is no purchase necessary to participate. These Rules are available at the showroom or pre-sales trailer of the Participating Club and on-line at www.goodlifefitness.com.

Each person submitting an Entry is referred to in these Rules as a "Participant".

  1. Weekly Prize Draw and Procedures:

(a) A random draw will be held each Monday at 9:00 a.m. Ontario time from all validly completed Entries received in respect of each Participating Club during the promotion period to date for that Participating Club (the “Weekly Prize Draw”). The first Participant whose Entry is drawn from the validly completed Entries received at that Participating Club during the promotion period to date will then be eligible to receive the Weekly Prize subject to fulfilment of all of the requirements of this Promotion.

(b) GoodLife will attempt to contact a Participant whose Entry is drawn by phone number, or address or e-mail address listed on the winning Entry between 9:00 a.m.-5 p.m. (Eastern time), for a period of two (2) days after the draw date or any further redetermination has occurred, if necessary, or until no later than 1 week after the date the Participating Club opens. If all conditions to receive a Prize are not completely satisfied within the time frame specified above, GoodLife may conduct a further random draw to determine a further potential Prize winner until all available Prizes have been awarded. The determination process will continue until the Prizes have been awarded, or one month after date on which the Participating Club opened, whichever is sooner, whereupon any unawarded Prizes will be cancelled. Any Participant whose name is drawn for a Prize must (i) on request, review and complete liability/publicity release attached and satisfy all applicable Rules to be eligible to receive the Prize; and (ii) correctly answer, unaided, a time-limited mathematical skill-testing question.

  1. Prizes:

The following Prizes are available to be awarded, at each Participating Club:

One Weekly Prize: consisting of one 1 year membership to GoodLife Fitness Clubs (approx. retail value of $750*). Prizes must be accepted as awarded, and cannot be exchanged or substituted by a Participant.

Winning Participant choosing to become a member of GoodLife Fitness and to thereafter claim the Prize will be required to enter into the standard written GoodLife Membership Agreement (details available at any Participating Club). Any winning Participant's right to receive the above-noted Prize is subject to his/her signing the applicable agreement as presented.

  1. Chances of Winning:

The chances of winning a Weekly Prize depends on the total number of valid Entries submitted for the Promotion at each Participating Club and the number of valid entries submitted by a Particinpant.

A Participant with a winning Entry will be entitled, on satisfying all applicable Rules to receive the Prize for which they are eligible. All Entries are subject to verification and are void if faulty, altered, or tampered with in any way. There is no limit on the total number of Entries available for completion and entry into the Promotion during the Promotion Period, however a Prize winning Entry once drawn will not be re-entered into a Ballot Box. All other Entries submitted during the Promotion Period will remain eligible for a Weekly Prize for the remainder of the Promotion.

  1. Eligibility:

The Promotion is open to legal residents of Canada, excluding residents of Quebec, who are of the age of majority in their respective Province or Territory of residence. The Promotion is NOT open to employees, representatives or agents of GoodLife, its subsidiaries, affiliates, franchisees, advertising and Promotion agents, and members of their respective families and persons with whom they are domiciled.

  1. General Rules:

GoodLife reserves the right to terminate, cancel, suspend and/or modify the Promotion without liability and without prior notice if any factor interferes with its operation as contemplated by these Rules, including but not limited to any fraud, virus or other technical problem which corrupts the administration, security, or proper operation of the Promotion. GoodLife is not responsible for theft, defects, and human errors including negligence, which may result in the failure of GoodLife to award a Prize. By participating in the Promotion, Participants: (a) agree to comply with and be bound by these Rules and the decisions of GoodLife, which shall be binding and final in all respects; (b) release GoodLife from all liability, loss, harm, damages, cost or expense arising out of participation in the Promotion, participation in any Promotion-related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom, or in connection with the awarding, receipt, possession, use and/or misuse of any Prize; (c) grant to GoodLife the right to use his/her name, mailing address, telephone number, and e-mail address (“Personal Information”) for the purpose of administering the Promotion, including but not limited to contacting and announcing the winner and agree to be contacted by GoodLife by mail, telephone and/or email; (d) grant to GoodLife the right to use his/her Personal Information for publicity and promotional purposes relating to the Promotion, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; (e) acknowledges that GoodLife may disclose his/her Personal Information to third-party agents and service providers in connection with any of the activities listed in (c) and (d) above; and (f) acknowledges that GoodLife makes no warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to any Prize, and disclaims all liability for the provision, quality or nature of any third-party products or services provided to Prize Winners.

The Promotion is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. All incidental costs and expenses not specifically referred to herein, including but not limited to taxes, (other than GST or HST and PST where applicable which are included in a Prize), are the sole responsibility of winners. No cash or other substitution may be made, except by GoodLife, who reserves the right, in its sole discretion, to substitute a Prize with another prize of greater or equal value in the event that a Prize is unavailable or cannot otherwise be awarded as described. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any Prize awarded, shall be resolved individually, without resort to any form of class action. Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event legal fees or disbursements. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participant and GoodLife in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules. Should any provision of these Rules be deemed unenforceable or invalid, the other provisions of these Rules shall remain in full force and effect. GoodLife’s failure to enforce any provision of these Rules shall not constitute a waiver of that or any other provision.

Each potential winner will be required to sign GoodLife’s form of declaration of compliance and release which confirms compliance with the rules and releases GoodLife from all liability with respect to the Participant’s participation in this Promotion and the awarding, use and misuse of the Prize. The executed declaration of compliance and release must be returned within two (2) business days of the verification as a Winner or the selected entrant will be disqualified and the Prize forfeited.
