GoodLife Fitness Clubs (“GoodLife”)

“Personal Training Transformation Success Stories” (the “Promotion”)

Official Rules and Regulations (“Rules”)

Participation in the Promotion constitutes full and unconditional agreement and acceptance by each participant of the Rules, which are final on all matters relating to the Promotion.

  1. Eligibility

The Promotion is open to legal residents of Canada, other than residents of Quebec, who (i) are of the age of majority in their respective Province or Territory of residence, and (ii) have worked out with a personal trainer or participated in a team training session at GoodLife within the ninety (90) day period prior to the date on which the promotion entry is submitted.

GoodLife shall have the right at any time to require proof of identity and/or eligibility to participate in the Promotion. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to GoodLife for the purpose of the Promotion must be truthful, complete, accurate and in no way misleading. GoodLife reserves the right, in its sole discretion, to disqualify any entrant should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information.

  1. Start and End Date

The Promotion begins 9:00am EST on September 13, 2017 (“Promotion Start Date”) and ends 4:59pm EST on September 29, 2017 (the “Promotion End Date”) (the “Promotion Period”).

  1. Prizes

All Prizes must be accepted by a winning participant as awarded, are not assignable, and cannot be exchanged or substituted or combined with any other offer.

The Prizes are as described below.

  • 3 prizes of $1,000 each will be awarded. In the event that the winning Participant is a team, the $1,000 prize will be divided equally amongst the members of the team

 

  1. How to Participate

To participate, submit a short testimonial essay (no more than 200 words) describing the physical and positive changes in lifestyle and attitude that (i) you (for individual submissions) have achieved through personal training, or (ii) your team (for team submissions) has collectively achieved through team training, together with at least one (1) and not more than five (5) photos (at least one after), at goodlifefitness.com/transformation (in any case the “Site”). Completed entries, consisting of: (1) Testimonial Essay, and (2) photo(s) (the “Submission”). Entries must be received by September 27,2017 to be eligible.

Each person or team submitting a Submission is referred to in these Rules as a "Participant". Limit of one Submission per Participant.

By submitting the Submission in the Promotion, Participant represents that the Submission submitted by him/her/them as his/her/their entry in the Promotion is original to him/her/them and that Participant owns all rights in and to the Submission.

By submitting a Submission on behalf of a team, Participant submitting the Submission (“Submitting Participant”) represents that all members of the team have read and agreed to the these Rules and have consented to being included in the Submission and participating in the Promotion. In the event that any team member objects to the Submission entered by the Submitting Participant or to participating in the Promotion, or does not agree to be bound by these Rules, the Submission will be automatically disqualified and removed from the Site.

Participant agrees that the Submission becomes the sole property of GoodLife, who shall have the right to publish, display, reproduce, modify, edit or otherwise use the Submission in whole or in part for advertising or promoting the Promotion or for any other reason.

Participant grants to GoodLife a perpetual, royalty-free, irrevocable, non-exclusive right and license throughout the world to use, reproduce, modify, adapt, create derivative works from, publish, translate, license, transmit, distribute and otherwise exploit any or all portions of the Submission in any manner and media and by means of any technology now known or hereafter developed.

In addition, Participant waives all intellectual property rights, including copyright, and waives all moral rights, in and to the Submission in favour of GoodLife.

In the event of dispute over the identity of a potential winner, a Submission will be declared as entered by the authorized account holder of the email address submitted used at the time of entry, and a potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address.

  1. Contest Submission Requirements
  2. Submissions must include a Testimonial Essay, not exceeding 200 words in length.
  3. Submissions must be in the English language and must concisely and inspirationally express how their life has been changed for the better through Personal Training or Team Training – see CRITERIA FOR SUBMISSION.
  4. Participants agree to and understand that Submissions will be made available to the public, including but not limited to posting on the Internet. Whether or not Submissions are published on the Internet, GoodLife does not guarantee any confidentiality with respect to any Submission.
  5. Participants are responsible for securing necessary consents, waivers, talent and location releases, and licenses for any visual and audio material contained in the Submissions.
  6. Submissions must comply with the Content Restrictions set forth below.
  7. Each Submission must be created by Participant and entered on an individual or team basis only (i.e., no corporate entries or entries on behalf of any Participant).
  8. Each Submission must be an original work of Participant which is under no restriction, contractual or otherwise, that will prevent or limit GoodLife's use of the Submission and each Submission must be free of any and all liens, encumbrances and claims of third parties. Participant acknowledges, agrees and warrants that, nothing in the Submission infringes on any copyrights, confidential information, trade secrets, or trademarks or other property rights belonging to any person or entity other than the Participant absent a suitable license, clearance or permission agreement (proof of which is required upon submission), or violates any person's rights of privacy or publicity and that all necessary releases and permissions have been secured.
  9. GoodLife is not responsible for any expenses incurred in the production and delivery of Submissions.
  10. Submissions must include at least one photo (up to a maximum of five photos) at least 1 MB or higher in resolution.
  11. Photos submitted must be in the following formats: .JPG, .GIF, or .PNG.
  12. Submission Restrictions

The Submission must not contain material that:

  1. is unlawful, harmful, offensive, threatening, abusive, harassing, invasive of privacy or publicity rights, defamatory, libelous, vulgar, obscene, pornographic, indecent, lewd, suggestive, profane, hateful, racially, ethnically or otherwise objectionable or inappropriate material of any kind, including, but not limited to, any material which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, provincial, federal or international law;
  2. may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;
  3. makes reference to or involves gambling, casinos, off-track betting, or other gambling of any form;
  4. involves alcohol, tobacco or weaponry, or that promotes or has a connotation to any illegal activity;
  5. that impersonates, disguises or conceals any person or entity or otherwise misrepresents a Participant's affiliation with a person or entity;
  6. displays or depicts unacceptable clothing or adornments, or displays any commercial/corporate advertising (including but not limited to corporate logos, brand names, trademarks, slogans, political, personal and religious statements);
  7. references persons or organizations without their written permission;
  8. disparages persons or organizations associated with GoodLife; or
  9. otherwise violates the standards of GoodLife as determined by GoodLife in its sole discretion.

Any Submission that does not comply with the above requirements and restrictions, or any other requirement herein, is subject to disqualification and GoodLife reserves the right at its sole discretion to remove any Submission if GoodLife receives notification about any potential infringements or breaches of law or any other reason set forth herein. GoodLife is not responsible for: lost, late, incomplete, invalid, illegible or misdirected Submissions, which will be disqualified; technical failures of any kind, including, but not limited to, electronic malfunctioning of any network, hardware or software; any failed, incomplete, garbled or delayed computer transmissions or any combination thereof; any error, human, technical or otherwise; or any injury or damage to Participant's or any other person's computer related to or resulting from entering, participating in, or accessing or downloading information in connection with, this Promotion. GoodLife reserves the right at its sole discretion to modify, cancel or suspend this Promotion for any reason whatsoever including, but not limited to, a computer virus, bug, or other cause beyond the control of GoodLife. In case of dispute as to the owner of a Submission, the Submission will be deemed to have been submitted by the authorized account holder of the e-mail address from which the entry is made. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. A selected Participant may be required to provide GoodLife with proof that he/she is the authorized account holder of the e-mail address associated with the selected Submission. GoodLife reserves the right, in its sole discretion, to disqualify any individual or team it finds tampering with the operation or entry process of the Promotion, or acting in violation of these Rules or applicable law. Submissions received past the Submission Deadline will not be accepted and will be destroyed.

  1. Finalist Selection

By October 11,2017 GoodLife personnel will review the Submissions and ten (10) finalists (“Finalists”) will be selected by a committee of judges. The selection of the finalists by GoodLife will be final. Finalists will be selected in GoodLife’s sole discretion based on the CRITERIA FOR SUBMISSION below.

CRITERIA FOR SUBMISSION

  • Finalists will be judged on most overall improvements, and who can best concisely and inspirationally express how their life has been changed for the better. This includes positive changes in lifestyle, attitude, and physical appearance.
  • How well the does the testimonial highlight the significance / contribution Personal Training or Team Training made in their success.
  • The written portion of the Submission will account for 50% of overall score, and the photos will account for the remaining 50%.
  • Does the submission reflect a positive, healthy activity or message?
  • Does the submission depict the achievement of physical and positive improvements in lifestyle and attitude?
  • Are the participants appropriately attired for a family audience?
  • Is the message relevant and inspirational to others?
  • Is the message "entertaining" (funny, inspirational, unique, etc.)?
  • Is the content of the submission concise and easy to read?
  • Is the language used in the submission clear and appropriate for a family audience?
  • Do the images include a ‘Before’ and ‘After’ shot that clearly show the physical transformation?
  • Do the image(s) include entire body from head to toe.

 

  1. Voting and Winner Selection

The ten (10) Finalists will be posted on Goodlifefitness.com/transformation (the “Voting Site”) at 9:00 a.m. EST on October 11,2017.

Voting will be open from 9:00 a.m. EST on October 11, 2017 to 4:59pm EST on October 20, 2017 (the “Voting Period”). Each Registered Voter is allowed one vote per person per Day (each a “Vote”). Votes will not count if the Registered Voter does not accurately complete all of the required fields on the registration form or if the Registered Voter attempts to enter fraudulent data. GoodLife will adjust the vote counts at any point in the competition to discount votes from Registered Voters who have not registered properly or who attempt to vote multiple times per day (including any attempt to use e-mail aliases). Voter registration data will be kept in strict confidence and used only for verification, to ensure a fair voting process.

The three (3) Submissions that receive the largest number of Votes will be the “Winners”.

In the event of a tie, the Winner will be selected by GoodLife, in its sole discretion.

 

The Prize Winners will be announced on the Site following determination by GoodLife whose decision will be final.

Each Prize winner must sign a standard release form (the "Release") releasing GoodLife from any liability arising out of or in any way connected with the Promotion, the award of a Prize, and the use of personal information as permitted. For the winning team, each member of the team must sign the Release in order for the team to be eligible to win the Prize.

If a potential Prize Winner cannot be contacted within seven (7) days of the first attempt to contact him/her, or if he/she fails to return the signed Release within seven (7) days (subject to applicable law), or if a potential Prize Winner is deemed ineligible for any other reason in GoodLife's sole discretion, the potential Prize Winner will be disqualified and an alternate Prize Winner will be selected by GoodLife, in its sole discretion, in his/her place from the remaining Finalists.

  1. Voting Rules

If it is discovered that attempts were made by a Registered Voter (or any individual purporting to be a Registered Voter) to: (i) Vote more than one (1) time per Voting Period; (ii) use any automated, script, macro or robotic program(s) to submit Votes; or (iii) engage in systematic voting from the same computer/IP address; then it may result in the disqualification, in GoodLife’s sole and absolute discretion, of the Votes and/or Submission to which such Votes relate.

If such an action is necessary during the Voting Period, then GoodLife reserves the right, in its sole and absolute discretion, to reset the vote count associated with the Submission to zero (or, to whatever number GoodLife deems appropriate in its sole and absolute discretion.

All Votes are subject to verification. GoodLife reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to GoodLife) from any voter to participate in this Promotion or for any Votes entered, or purportedly entered, by such voter to be considered valid for the purposes of this Promotion.

Individuals may encourage other individuals to vote for a Submission (e.g. via various social media sites and platforms); however, no form of incentive, inducement, prize or chance of receiving any incentive, inducement, or prize may be offered as part of such encouragement in furtherance of receiving such individual’s vote for any Submission. Any individual determined by GoodLife and/or its representatives to be engaging in such behaviour will be disqualified, and the corresponding Votes, Submission and/or Participant is subject to disqualification in the sole and absolute discretion of GoodLife.

  1. General Rules

GoodLife reserves the right to terminate, cancel, suspend and/or modify the Promotion without liability and without prior notice if any factor interferes with its operation as contemplated by these Rules, including but not limited to any fraud, virus or other technical problem which corrupts the administration, security, or proper operation of the Promotion. GoodLife reserves the right, in its sole discretion, to disqualify any Participant who fails to comply with these Rules or who is suspected of tampering with the Submission, voting or selection process. GoodLife is not responsible for theft, defects and human errors, including negligence, which may result in the failure of GoodLife to award a Prize. By participating in the Promotion, Participants: (a) agree to comply with and be bound by these Rules and the decisions of GoodLife, which shall be binding and final in all respects; (b) to release GoodLife, Facebook and each of their respective affiliated, franchisees/licensees, companies, agencies, and their respective officers, directors, employees, representatives, licensees, advertising and other agents (individually and collectively referred to as the "Promotion Group") from all liability, loss or damage, cost or expense arising out of participation in the Promotion, participation in any Promotion-related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom, or in connection with the awarding, receipt, possession, use and/or misuse of any Prize; (c) grant to GoodLife the unrestricted right, in GoodLife’s sole discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winning Participant’s name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Promotion and the promotion and exploitation thereof; (d) grant to GoodLife the right to use his/her name, mailing address, telephone number, and e-mail address (“Personal Information”) for the purpose of administering the Promotion, including but not limited to contacting and announcing the winner and agree to be contacted by GoodLife by mail, telephone and/or email; (e) grant to GoodLife the right to use his/her Personal Information for publicity and promotional purposes relating to the Promotion, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; (f) acknowledges that GoodLife may disclose his/her Personal Information to third-party agents and service providers of GoodLife in connection with any of the activities listed in (d) and (e) above; and (g) acknowledges that GoodLife makes no warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to any Prize, and disclaims all liability for the provision, quality or nature of any third-party products or services provided to Prize Winners.

GoodLife reserves the right, in its sole discretion, to disqualify any Participant found to be: (a) violating the Promotion Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Promotion or the Sites; and/or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE SITES OR ANY RELATED WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE PROMOTION GROUP RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING BUT NOT LIMITED TO CRIMINAL PROSECUTION.

GoodLife assumes no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete entries, notifications, responses, replies or any release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of a Submission. GoodLife is not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the administration of the Promotion. GoodLife assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. GoodLife is not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. GoodLife is not responsible for any injury or damage to Participants or to any computer related to or resulting from participating or downloading materials in this Promotion. Participant assumes liability for injuries caused or claimed to be caused by participating in the Promotion, or by the acceptance, possession, use of, or failure to receive any Prize. GoodLife assumes no responsibility or liability in the event that the Promotion cannot be conducted as planned for any reason, including those reasons beyond the control of GoodLife, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Promotion.

The Promotion is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. All incidental costs and expenses not specifically referred to herein, including but not limited to taxes, (other than GST or HST and PST where applicable which are included in a Prize), are the sole responsibility of winners. No cash or other substitution may be made, except by GoodLife, who reserves the right, in its sole discretion, to substitute a Prize with another prize of greater or equal value in the event that a Prize is unavailable or cannot otherwise be awarded as described. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any Prize awarded, shall be resolved individually, without resort to any form of class action. Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event legal fees or disbursements. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participant and GoodLife in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules. Should any provision of these Rules be deemed unenforceable or invalid, the other provisions of these Rules shall remain in full force and effect. GoodLife’s failure to enforce any provision of these Rules shall not constitute a waiver of that or any other provision.

Each potential winner will be required to sign GoodLife’s form of declaration of compliance and release which confirms compliance with the rules and releases the Promotion Group from all liability with respect to the Participant’s participation in this Promotion and the awarding, use and misuse of the Prize. The executed declaration of compliance and release must be returned within two (2) business days of the verification as a Winner or the selected entrant will be disqualified and the Prize forfeited.

All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by GoodLife and/or its affiliates as applicable. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
