“September 2021 GoodLife PT Scratch and Win Contest” (the “Promotion”)

 

OFFICIAL RULES AND REGULATIONS (“RULES”)

 

Participation in the Promotion constitutes full and unconditional agreement and acceptance by each Participant of the Rules, which are final on all matters relating to the Promotion.

 

The Promotion is available to residents of Canada, other than residents of Quebec, who are of the age of majority in their province of residence. Prizes may be redeemed at GoodLife Fitness locations throughout Canada, other than Quebec, that offer personal training (the “Participating Club(s)”).

 

  1. START AND END DATE: The Promotion begins at 12:01 a.m. (local time) on September 1, 2021 (“Promotion Start Date”), and continues while supplies last, provided that all Scratch Cards must be redeemed and prizes claimed by 11:59 p.m. (local), on September 30, 2021 (the “Promotion End Date”) (collectively, the "Promotion Period").

 

PRIZES: All Prizes must be accepted by each winning Participant as awarded, are not assignable and cannot be exchanged or substituted or combined with any other offer. Scratch Cards are not redeemable for cash or credit in part or whole. The Prizes are as described below and as revealed on the scratched area of a Scratch Card. Total Number of Scratch Cards is 3,000. There will be 2,860 Scratch Cards offering 5% off Personal Training (“PT”); 60 cards offering 6% off PT; 30 cards offering 7% off PT; 10 cards offering 8% off PT; 10 cards offering 9% off PT; and 10 cards offering 10% off PT (retail value of each PT session is approx. $64.00). 10 Scratch Cards will offer a 6-month membership, valued up to $714.90 based on winner’s existing membership type and 10 will offer a 1-year membership, valued up to $1,429.80 based on winner’s existing membership type.

Scratch Card Promotion details:

 

  • 1 Year Membership: Prize consists of a one-year membership at participating GoodLife Fitness clubs based on the winner’s existing membership type. If the winner is not currently a member, a one-year Ultimate membership is awarded. Approximate retail value of a one-year Ultimate membership is $961.80.
  • 6 Month Membership: Prize consists of a 6-month membership at participating GoodLife Fitness clubs based on the winner’s existing membership type. If the winner is not currently a member, a 6-month Ultimate membership is awarded. Approximate retail value of a 6-month Ultimate membership is $480.90.
  • 5% savings on PT sessions: 5% savings off PT sessions on the purchase of 48 or more 1-hour PT sessions. Approximate retail value of PT savings is $224.00 before applicable tax (based on an average purchase of 70 PT sessions and an average cost per session of $64.00).

 

  • 6% savings on PT sessions: 6% savings off PT sessions on the purchase of 48 or more 1-hour PT sessions. Approximate retail value of PT savings is $268.80 (based on an average purchase of 70 PT sessions and an average cost per session of $64.00).

 

  • 7% savings on PT sessions: 7% savings off PT sessions on the purchase of 48 or more 1-hour PT sessions. Approximate retail value of PT savings is $313.60 before applicable tax (based on an average purchase of 70 PT sessions and an average cost per session of $64.00).

 

  • 8% savings on PT sessions: 8% savings off PT sessions on the purchase of 48 or more 1-hour PT sessions. Approximate retail value of PT savings is $358.40 before applicable tax (based on an average purchase of 70 PT sessions and an average cost per session of $64.00).
  • 9% savings on PT sessions: 9% savings off PT sessions on the purchase of 48 or more 1-hour PT sessions. Approximate retail value of PT savings is $403.20 before applicable tax (based on an average purchase of 70 PT sessions and an average cost per session of $64.00).

 

  • 10% savings on PT sessions: 10% savings off PT sessions on the purchase of 48 or more 1-hour PT sessions. Approximate retail value of PT savings is $448.00 before applicable tax (based on an average purchase of 70 PT sessions and an average cost per session of $64.00).

 

Limit one Scratch Card per Participant. If a Participant scratches a scratch area and a Prize is revealed, the holder of the Scratch Card will then become eligible, on fulfilment of all the conditions in these Rules, to receive the indicated Prize.

All values reflect retail value, actual cost to GoodLife may be less. Chances of winning are based on number of Scratch Cards printed of each version and random distribution at time of PT consultation - each printed Card contains the described Prize.

 

Discount is only applicable on the purchase of 48 or more 1-hour PT Sessions.

 

  1. HOW TO PARTICIPATE: To participate in the Promotion, a Participant must complete a Scratch Card at a Participating Club. Only original Scratch Cards are valid. No duplicates, copies or facsimiles. There is a limit of one Scratch Card per Participant during the Promotion Period. Each person submitting a Scratch Card is referred to in these Rules as a “Participant”.

 

  1. NO PURCHASE NECESSARY: There is no purchase necessary to participate in the Promotion. To receive a Scratch Card, and/or a copy of the Rules visit any Participating Club. These Rules are also available on the GoodLife website: http://www.goodlifefitness.com, at the bottom of the GoodLife Home Page, or by calling GoodLife at: 1-800-387-2524.

 

 

  1. DISTRIBUTION OF SCRATCH CARDS & AWARDING OF PRIZES: During the Promotional Period, Scratch Cards will be distributed in Participating Clubs at the time of a Personal Training consultation for those interested in purchasing Personal Training services. Chances of receiving a particular version of a Scratch Card will depend on which version of a Scratch Card is randomly distributed to a prospective Participant or which Scratch Card is available at a Participating Club, which are distributed at random. The scratched area on the Scratch Card will reveal the potential Prize. Prizes (with the exception of the 6-month and 1-year memberships) can only be redeemed upon the minimum purchase of 48 one hour PT sessions. All Participants must correctly answer a skill testing question to be eligible to receive the Prize revealed on the Scratch Card.

 

All winning Scratch Cards are subject to verification and are void if faulty, altered, or tampered with in any way. Any Participant with a Scratch Card who fails to satisfy the applicable Rules to receive a Prize will be ineligible to receive the Prize. Skill testing question and declaration forms are available at Participating Clubs.

 

Any Scratch Cards not redeemed during the Promotion Period will be void.

 

Scratch Cards cannot be used for Specialty, Group Specialty Programs, Team Training or Partner Training.

 

  1. ELIGIBILITY: The Promotion is open to legal residents of Canada, other than residents of Quebec, who are of the age of majority in their respective Province or Territory of residence. The Promotion is NOT open to employees, representatives or agents of GoodLife, its subsidiaries, affiliates, franchisees, advertising and Promotion agents, and members of their respective families and persons with whom they are domiciled.

 

  1. STANDARD AGREEMENTS: Each Participant redeeming a Scratch Card will be required to enter into the standard written GoodLife Membership Agreement and/or GoodLife Personal Training Programs Agreement, as applicable (details available at any Participating Club). If a Participant refuses to enter into such an agreement, as presented, the Scratch Card will be void.

 

  1. RELEASE: By redeeming a Scratch Card, Participant releases GoodLife, all GoodLife licensees, and their respective officers, directors, employees, representatives, licensees, advertising and other agents, of and from any and all claims whatsoever which Participant, Participant’s heirs, estate trustees or other personal legal representatives or assigns, have or may have arising out of or in any way related to the Promotion and/or the Prize/Discount.

 

  1. GENERAL RULES:

 

GoodLife reserves the right to terminate, cancel, suspend and/or modify the Promotion without liability and without prior notice if any factor interferes with its operation as contemplated by these Rules, including but not limited to any fraud, virus or other technical problem which corrupts the administration, security or other proper operation of the Promotion. GoodLife is not responsible for theft, defects and human errors, including negligence, which may result in the failure of GoodLife to award a Prize. By participating in the Promotion, Participants: (a) agree to comply with and be bound by these Rules and the decisions of GoodLife, which shall be binding and final in all respects; (b) release GoodLife from all liability, loss, harm, damages, cost or expense arising out of participation in the Promotion, participation in any Promotion-related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom, or in connection with the awarding, receipt, possession, use and/or misuse of any Prize; (c) grant to GoodLife the unrestricted right, in GoodLife’s sole discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winning Participant’s name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Promotion and the promotion and exploitation thereof; (d) grant to GoodLife the right to use his/her name, mailing address, telephone number, and e-mail address (“Personal Information”) for the purpose of administering the Promotion, including but not limited to contacting and announcing the winner and agree to be contacted by GoodLife by mail, telephone and/or email; (e) grant to GoodLife the right to use his/her Personal Information for publicity and promotional purposes relating to the Promotion, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; (f) acknowledges that GoodLife may disclose his/her Personal Information to third-party agents and service providers of GoodLife in connection with any of the activities listed in (d) and (e) above; and (g) acknowledges that GoodLife makes no warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to any Prize, and disclaims all liability for the provision, quality or nature of any third-party products or services provided to Prize Winners.

 

GoodLife reserves the right, in its sole discretion, to disqualify any Participant found to be: (a) violating the Promotion Rules; (b) tampering or attempting to tamper with the entry process, including the Scratch Cards; and/or (c) acting in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.

 

GoodLife assumes no responsibility or liability for lost, late, illegible, falsified, damaged, misdirected or incomplete Scratch Cards, notifications, responses replies or any release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur in connection with the Promotion. GoodLife is not responsible for any incorrect or inaccurate information, whether caused by a Participant or Participants or by any other human error or technical error which may occur in the administration of the Promotion. GoodLife assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. GoodLife is not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. GoodLife is not responsible for any injury or damage to Participants or to any computer related to or resulting from participating or downloading materials in this Promotion. Participant assumes liability for injuries caused or claimed to be caused by participating in the Promotion, or by the acceptance, possession, use of, or failure to receive any Prize. GoodLife assumes no responsibility or liability in the event that the Promotion cannot be conducted as planned for any reason, including those reasons beyond the control of GoodLife, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Promotion.

 

The Promotion is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. All incidental costs and expenses not specifically referred to herein, including but not limited to taxes, (other than GST or HST and PST where applicable which are included in a Prize), are the sole responsibility of winners. No cash or other substitution may be made, except by GoodLife, who reserves the right, in its sole discretion, to substitute a Prize with another prize of greater or equal value in the event that a Prize is unavailable or cannot otherwise be awarded as described. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any Prize awarded, shall be resolved individually, without resort to any form of class action. Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event legal fees or disbursements. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participant and GoodLife in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules. Should any provision of these Rules be deemed unenforceable or invalid, the other provisions of these Rules shall remain in full force and effect. GoodLife’s failure to enforce any provision of these Rules shall not constitute a waiver of that or any other provision. Any litigation must be commenced in the City of London, Ontario. The parties hereby request that the present contract be drafted in the English language. Le présent contrat est rédigé en anglais à la demande des parties.

 

Each potential winning Participant will be required to sign GoodLife’s form of declaration of compliance and release which confirms compliance with the rules and releases GoodLife from all liability with respect to the Participant’s participation in this Promotion and the awarding, use and misuse of the Prize. The executed declaration of compliance and release must be returned within two (2) business days of the verification as a Winner or the selected entrant will be disqualified and the Prize forfeited.

 

All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by GoodLife and/or its respective affiliates as applicable. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
