GOODLIFE FITNESS® (“GOODLIFE”)
GoodLife Ultimate Canadian Concert Experience Contest (the “Contest” or the “Promotion”)
Official Rules and Regulations (“Rules”)

Participation in the Contest constitutes full and unconditional agreement and acceptance by each Participant of the Rules, which are final on all matters relating to the Contest.

The Contest is open to legal residents of Canada, other than residents of Quebec, who are of the age of majority in their respective Province or Territory of residence and are not an associate of GoodLife.

1. Start and End Date
The Contest begins at 5:00 p.m. (EST) on April 2, 2025 (the “Contest Start Date”) and ends on May 15, 2025 at 10:00 p.m. (EST) (the "Contest End Date") (collectively, the “Contest Period”).

2. Prize
There is one (1) Prize package available to be won. The Prize package consists of two (2) general admission tickets to a Live Nation® produced and promoted concert in Canada during 2025 concert year (excluding Quebec and Festivals)*; (1) round-trip, economy class air transportation for two (2) people from the major airport nearest prize winner’s home within Canada to the major airport nearest the concert in Canada; one (1) double occupancy standard hotel room for two (2) nights; one (1) $200.00 CAD pre-paid cash card to use toward ground transportation provided by Uber; two (2) $500 Pre-Paid credit card gift cards (to be used for additional transit, concert purposes); and two (2) Year-Long GoodLife Ultimate Memberships. Prize package has an estimate total retail value of $7,000 CAD***. depending upon winner’s point of travel origin and airfare fluctuations at the time of taking the trip. Any difference between stated approximate retail value and actual value of prize will not be awarded.

*Tickets are redeemable until December 31,2025, or while supplies last. Tickets are subject to program availability, venue capacity, age and artist restrictions. Tickets to a particular concert are not guaranteed. Selection of ticket type and/or concert seat location is solely within Live Nation’s discretion. Ticket delivery method is at sole discretion of Live Nation which will be either sent to winner by mail, email, mobile ticketing or placed at venue Will Call the day of concert under the winner’s name. Winner must be present to pick up tickets and a valid photo ID will be required if tickets are placed at Will Call. Winner and guest must be at least the age of majority and must abide by all venue and event policies, to include but not limited to, showing a valid photo ID at venue for age verification and/or identification purposes if requested. Live Nation reserves the right to revoke full or partial prize from any winner or winner’s guest who it and/or venue personnel deem may, in their sole discretion, be intoxicated, be a safety risk, have violated any venue policy or law, and/or may bring Live Nation into disrepute. Winner must select concert within thirty (30) days of winning and at least thirty (30) days in advance of the travel, or forfeits the prize. Winner understands that there are inherent risks involved in being in public spaces and that these risks may be present before, during and after the concert. Resale of tickets is prohibited. By claiming tickets, you agree to Live Nation’s Terms of Use and to abide by the health and safety measures in effect at the time of your event. Should the event be cancelled, you will be notified as soon as reasonably possible.

** If the winner is a GoodLife member at the conclusion of the Promotion Period, the winner will not be eligible to receive the Year-Long GoodLife membership component of the Prize; the Year-Long GoodLife Memberships can instead be transferred to a friend or family member of the winner’s choice.

***Actual cost to GoodLife may be less.

The Prize is not redeemable for cash or credit in part or whole.

3. HOW TO PARTICIPATE:

To enter (an “Entry”):

a) Contest Microsite produced by Influence Marketing

Entries must include all of the required components of an Entry in order to be accepted and entered for the Prize Draw.

Each person submitting an entry is referred to in these Rules as a “Participant”.

Each Participant is eligible to submit up to one (1) Entry per day during the Promotion Period, up to a total of forty-eight (48) Entries per Participant, regardless of method or combination of methods of Entry or number of Entries previously submitted. Multiple Participants are not permitted to share the same email address or other relevant account. Any attempt by you to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void your entries and you may be disqualified. Use of any repetitive, automatic, programmed or similar technology, system or agent (including without limitation promotion entry services) to enter is prohibited and will void all of your entries. Any automated receipt (such as one confirming delivery of text message or e-mail) does not constitute proof of actual receipt by Administrator of an entry. Promotion Entities are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected Entries, which will be disqualified. All Entries become the property of Administrator and none will be acknowledged or returned.

No Purchase is necessary to participate in this Contest.

Participants will require an Instagram or Facebook to enter. Internet access and/or cellular data is required to participate. Your Instagram or Facebook must be public to participate.

Inappropriate Content: Obscene, provocative or otherwise questionable content will not be considered. GoodLife retains the sole discretion as to what constitutes inappropriate content. By entering the Promotion, Participants agree to have their submitted name and video displayed on GoodLife’s website, social media and marketing channels, and used by GoodLife for any purpose, at any time, without any fee or other form of compensation.

4. How to Win

The names of the Participants will be entered into a random draw for a chance to win a Prize. One (1) name will be randomly selected.
A random draw (the “Prize Draw”) will be held at 10:00 a.m., local time on the May 19, 2025. The first Participant whose Entry is drawn from each of these clubs, from the validly completed Entries received during the Promotion Period, will be eligible to win a Prize, subject to fulfilment of all of the requirements of this Promotion. Entries must be received during the Contest Period to participate in the Prize Draw. Entries must be completed in full in order to be accepted and entered for the Prize Draw.
GoodLife will attempt to contact the Participant whose Entry is drawn by phone number, social media, address or e-mail address listed on the winning Entry between 9:00 a.m.- 5:00 p.m. (local time), for a period of two (2) days after the Prize Draw date or if any redetermination has occurred, if necessary. If all conditions to receive a Prize are not completely satisfied within the time frame specified above, GoodLife may conduct a further random draw to determine a further potential Prize winner until the available Prize has been awarded. The determination process will continue until the Prize has been awarded, or one (1) month following the Promotion End Date, whichever is sooner. Any Participant whose name is drawn for a Prize must: (i) on request review and complete a liability/publicity release and satisfy all applicable Rules to be eligible to receive the Prize; and (ii) correctly answer, unaided, a time-limited mathematical skill-testing question.

5. Chances of Winning

The chance of winning will be one (1) out of the total number of Participants. Chances of winning will depend on the total number of Participants entered during the Contest Period.

6. Eligibility

The Contest is open to legal residents of Canada, other than residents of Quebec, who are of the age of majority in their respective Province or Territory of residence and are not an associate of GoodLife.

GoodLife shall have the right at any time to require proof of identity and/or eligibility to participate in the Promotion. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to GoodLife for the purpose of the Contest must be truthful, complete, accurate and in no way misleading. GoodLife reserves the right, in its sole discretion, to disqualify any entrant should such an entrant at any stage supply untruthful, incomplete, inaccurate or misleading personal details and/or information or who fails to comply with these Rules.

7. General Rules
GoodLife reserves the right to terminate, cancel, suspend and/or modify the Contest without liability and without prior notice if any factor interferes with its operation as contemplated by these Rules, including but not limited to any fraud, virus or other technical problem which corrupts the administration, security, or proper operation of the Promotion. GoodLife is not responsible for theft, defects, and human errors including negligence, which may result in the failure of GoodLife to award a Prize. By participating in the Promotion, Participants: (a) agree to comply with and be bound by these Rules and the decisions of GoodLife, which shall be binding and final in all respects; (b) release GoodLife and Live Nation Canada, Inc. (“Live Nation”) and each of their respective parents, partners, divisions, subsidiaries, shareholders, officers, directors, members, managers, agents, affiliates, and employees from all liability, loss, harm, damages, cost or expense arising out of participation in the Promotion, participation in any Promotion-related activity or the acceptance, use, or misuse of a Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom, or in connection with the awarding, receipt, possession, use and/or misuse of a Prize; (c) grant to GoodLife the unrestricted right, in GoodLife’s sole discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winning Participant’s name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Contest and the Contest and exploitation thereof; (d) grant to GoodLife the right to use his/her name, mailing address, telephone number, and e-mail address (“Personal Information”) for the purpose of administering the Promotion, including but not limited to contacting and announcing the winner and agree to be contacted by GoodLife by mail, telephone and/or email; (e) grant to GoodLife the right to use his/her Personal Information for publicity and promotional purposes relating to the Promotion, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; (f) acknowledges that GoodLife may disclose his/her Personal Information to third-party agents and service providers of GoodLife in connection with any of the activities listed in (d) and (e) above; and (g) acknowledges that GoodLife makes no warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to any Prize, and disclaims all liability for the provision, quality or nature of any third-party products or services provided to a Prize winner.

GoodLife reserves the right, in its sole discretion, to disqualify any Participant found to be: (a) violating the Contest Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Promotion; and/or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

GoodLife assumes no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete entries, notifications, responses, replies or any release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an entry. GoodLife is not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the administration of the Promotion. GoodLife assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. GoodLife is not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. GoodLife is not responsible for any injury or damage to Participants or to any computer related to or resulting from participating or downloading materials in this Promotion. Participant assumes liability for injuries caused or claimed to be caused by participating in the Promotion, or by the acceptance, possession, use of, or failure to receive a Prize. GoodLife assumes no responsibility or liability in the event that the Contest cannot be conducted as planned for any reason, including those reasons beyond the control of GoodLife, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Promotion.

The Contest is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. All incidental costs and expenses not specifically referred to herein, including but not limited to taxes, (other than GST or HST and PST where applicable which are included in the Prizes), are the sole responsibility of winners. No cash or other substitution may be made, except by GoodLife, who reserves the right, in its sole discretion, to substitute a Prize with another prize of greater or equal value in the event that a Prize is unavailable or cannot otherwise be awarded as described. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or a Prize awarded, shall be resolved individually, without resort to any form of class action. Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event legal fees or disbursements. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participant and GoodLife in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules. Should any provision of these Rules be deemed unenforceable or invalid, the other provisions of these Rules shall remain in full force and effect. GoodLife’s failure to enforce any provision of these Rules shall not constitute a waiver of that or any other provision.

The winner will be required to sign GoodLife’s form of declaration of compliance and release which confirms compliance with the rules and releases GoodLife from all liability with respect to the Participant’s participation in this Contest and the awarding, use and misuse of a Prize. The executed declaration of compliance and release must be returned within two (2) business days of the verification as a Winner or the selected entrant will be disqualified and the Prize forfeited.

All intellectual property, including but not limited to trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by GoodLife and/or its respective affiliates as applicable. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.

Live Nation Canada, Inc. is not a Sponsor of the Contest, and is in no way responsible for the administration of the Contest, the verification of winners or the fulfillment of prizing.
