USER GENERATED CONTENT TERMS OF USE

You are reading this because GoodLife Fitness Centres Inc. (“GoodLife”) has requested your permission to use social media content, which may include photo(s), video(s) or other digital materials, that you have posted online.

 

By responding to our message with “#yestogoodlife,” you agree that we may use your User Content (as defined below) in accordance with these User Generated Content Terms of Use (the “Terms of Use”).

 

In these Terms of Use, “we”, “us” and “our” refers to GoodLife and its affiliated companies. The "User Content" refers to the photo(s), video(s) or other digital materials (together with caption(s) and comment(s)) that you posted on Facebook, Twitter, Instagram, another social media platform or website, and in response to which we sent a message asking permission to use the User Content and referring you to these Terms of Use.

 

Representations and Warranties

You represent and warrant that:

  • You are at least 13 years of age and agree to not include any other minors in your User Content;
  • You have the power and authority to agree to these Terms of Use;
  • The User Content is your own original creation and you own all of the rights in and to the User Content;
  • Any person(s) appearing in the User Content were at least 18 years old at the time that the User Content was generated;
  • Each individual whose image or likeness is captured in your User Content has granted you the right to use his or her image or likeness for the purposes set forth in these Terms of Use;
  • The User Content does not infringe or misappropriate the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party, and does not contain any offensive, unlawful or obscene material;
  • Your upload or post of the User Content does not violate any applicable laws or the terms or requirements of the social media platform to which you uploaded or posted the User Content; and
  • You have read and you agree to comply with all of the terms and conditions in these Terms of Use.

 

License

You grant us a non-exclusive, worldwide, irrevocable, royalty-free, perpetual right and license to use, reproduce, edit, reformat, publish, broadcast, distribute, and otherwise utilize the User Content for any business purpose on our websites and social media pages, and in any and all other marketing, promotional and advertising initiatives, and in any media now or hereafter known. You agree that we may use, copy, modify, alter, edit, publish, create new derivative works from, make available and display the User Content (or any part of the User Content) and related content, and include the User Content (or any part of the User Content) in other works, for any business related purposes, including but not limited to promotional and marketing purposes. You also grant us the right, at our sole discretion, to use your username, real name, image, likeness, caption, location or other identifying information associated with the User Content, or provided by you when we utilize the User Content.

 

You will retain ownership of the User Content that you allow us to use. Our license to your User Content is ‘nonexclusive,’ meaning that you may continue to use the User Content for your own purposes and let others use your User Content.

The royalty-free nature of our license to your User Content means that we do not owe you any compensation or fees in connection with our use of your User Content or in connection with any revenue or business advantage that we might enjoy as a result of such use.

 

You confirm that you have the consent or permission of any other person or entity that is required for our use of the User Content as described in these Terms of Use, including but not limited to: (a) any person who appears or performs in the User Content, and (2) any person or entity who owns any rights in the User Content or anything that appears in the User Content. You irrevocably and unconditionally grant to us all consents or permissions of any person or entity as required by any applicable laws, which may be required for our use of the User Content.

If you agree to these Terms of Use, our use, if any, of the User Content, will be in our sole discretion and we shall have no obligation to use the User Content or your name or other identifying information.

 

If requested, you will sign any documentation in such manner and at such location as may be required to protect, perfect or enforce any of the rights you have given to us under these Terms of Use.

 

We will not be responsible for any other party’s use of the User Content, even if such third party’s use originated with or is derived from our use.

 

Privacy Policy

We will use any personal data we receive in connection with our use of the User Content in accordance with these Terms of Use and in accordance with our Privacy Policy available online at https://www.goodlifefitness.com/privacy-policy. You consent to our collection of any personal data you provide in connection with the use of the User Content as described herein. If you do not agree to the collection, use and disclosure of your personal information in this way, please do not provide us with personal information or agree to these Terms of Use.

 

Indemnity

You acknowledge that GoodLife has reasonably relied on the above representations and that you shall be liable for and shall indemnify us against any and all claims, actions, liabilities, losses, damages, expenses (including reasonable legal expenses) incurred by us which arise directly or indirectly from a breach by you of your obligations, representations or warranties under these Terms of Use or from the content of your User Content.

 

Miscellaneous

These Terms of Use are personal to you and may not be assigned or transferred by you for any reason whatsoever without our prior written consent.

A failure by us to exercise or enforce any legal right or remedy that is contained in these Terms of Use shall not operate as a formal waiver of our rights or preclude the exercise of our rights at any subsequent time or on any subsequent occasion.

These Terms of Use shall be construed and governed by the laws of the Province of Ontario and the Federal laws of Canada where applicable.

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Use are invalid, then that provision will be removed without affecting the rest of the Terms of Use. The remaining provisions of these Terms of Use will continue to be valid and enforceable.

Terms of Use (the “Terms of Use”)

 

Welcome to the GoXPro App (the “App”). By accessing and using the App you, the user (hereinafter referred to as “you” or the “user”) agree to these Terms of Use.

 

IT IS IMPORANT THAT YOU REVIEW THE FOLLOWING TERMS AND CONDITIONS CAREFULLY. IF YOU DO NOT AGREE TO THE TERMS SET FORTH BELOW, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE APP IN ANY WAY.

 

“GoodLife” means GoodLife Fitness Centres Inc.

 

“GoXPro” means GoXPro Pty Ltd; GoXPro IP Pty Ltd; and GoXPro International Operations Pty Ltd.

 

“We”, “our” and “us” means GoodLife and/or GoXPro.

 

  1. Use by Minors

Unless you have express permission from a parent(s) and/or guardian, you must be 18 years old or older to access, purchase from, or otherwise use any services via the App. No one under 13 years old is permitted to use or access the App under any circumstances, even with parental permission.

 

  1. Privacy Policy

GoodLife and GoXPro take your privacy seriously. The GoodLife Fitness Privacy Policy, available via the following URL link, addresses and governs GoodLife’s standards and procedures in relation to the collection, use, and disclosure of user personal information: https://www.goodlifefitness.com/privacy-policy.html. Please note, however, that information sent or received over the Internet is generally unsecure and we make no representation or warranty concerning the security of any communication made using the App or any interception by third parties of personal or other information contained in such communications.

 

  1. Health Disclaimer

The App may provide physical training, fitness and other information, applications, and content published over the internet and is intended only to assist users in their personal physical fitness efforts. Neither GoodLife nor GoXPro is a medical organization and cannot - and does not - give you medical advice or a medical diagnosis. Nothing contained in the App should be construed as medical advice or a medical diagnosis. The information and reports generated by the App should not be interpreted as a substitute for physician consultation, evaluation, treatment, or good sense and personal judgment about one's own condition.


The risk of injury from participation in a fitness regimen and/or from the performance of any exercise is significant, including the potential for catastrophic injury or death. You should consult a medical professional before undertaking any fitness regimen or exercise program, including any exercises or techniques set forth or described on the App. The text, pictures, and description set forth in the App is for educational purposes only (e.g., the information illustrates and explains various fitness-related and exercise techniques and concepts) and does NOT advise that you or any other particular App user undertake or perform any particular technique or exercise. You agree that you will not undertake or perform any exercise or technique described in this App until and unless you consult with and are cleared by a medical doctor in relation to such participation.

EXCEPT AS IS EXPRESSLY SET FORTH ELSEWHERE HEREIN, THE SERVICES ARE MADE AVAILABLE "AS IS," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR OTHERWISE, ALL SUCH WARRANTIES BEING EXPRESSLY DISCLAIMED.   1. Limitation of Liability


TO THE EXTENT ALLOWED BY LAW, GOODLIFE, GOXPRO, AND THEIR RESPECTIVE SERVICE PROVIDERS, INFORMATION PROVIDERS, LICENSORS, EMPLOYEES, OFFICERS, DIRECTORS, ASSIGNEES, OR AGENTS SHALL HAVE NO LIABILITY TO YOU OR TO ANY THIRD PARTY FOR UNAUTHORIZED THIRD-PARTY ACCESS TO OR ALTERATION THEFT OR DESTRUCTION OF, ANY INFORMATION CONTAINED ON THE APP THROUGH ACCIDENT OR THROUGH FRAUDULENT OR WRONGFUL MEANS OR DEVICES. IN ANY EVENT, THE LIABILITY OF GOODLIFE, GOXPRO AND THEIR RESPECTIVE SERVICE PROVIDERS, INFORMATION PROVIDERS, LICENSORS, EMPLOYEES, OFFICERS, DIRECTORS, ASSIGNEES, OR AGENTS TO YOU OR ANY OTHER USER FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO AND SHALL IN NO EVENT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO GOODLIFE FOR USE OF THE SERVICES. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS, NON-INFRINGEMENT, AND OTHER CAUSES OF ACTION OR ALLEGATIONS.


NOTE: SOME JURISDICTIONS EITHER DO NOT ALLOW OR OTHERWISE LIMIT THE PERMISSIBLE SCOPE OF DISCLAIMERS AND LIMITATIONS SUCH AS THOSE APPEARING IN THE TWO PRECEDING PARAGRAPHS. ACCORDINGLY, SOME OF THE LIMITATIONS AND DISCLAIMERS APPEARING THEREIN MAY NOT APPLY TO YOU.


  1. Indemnification

You agree to indemnify, defend, and hold harmless GoodLife, GoXPro, and their respective service providers, information providers, licensors, employees, officers, directors, assignees, or agents and defend any action brought against same with respect to any claim, demand, cause of action, debt or liability, including, without limitation, reasonable legal fees, on a solicitor and client basis, to the extent that such action is based upon a claim that: (i) if true, would constitute a breach of any of your representations, warranties, or agreements hereunder; (ii) arises out of or relates to your use of the App and/or (iii) arises out of your negligence, willful misconduct, or other breach of this Agreement.

 

 

  1. Availability

We make no guarantees regarding the availability of the App or any services provided through the App (the “Services”) (including the availability of any given Service). We reserve the right, in our sole discretion, to discontinue the App or any Services available through the App and/or modify the contents of the App or these Terms of Use as we see fit. You agree that we will not be liable to you for any such discontinuance or modification of the App or the Services. We may update our Terms of Use from time to time. We will notify you of any changes by posting the new Terms of Use on this App. By continuing to use the App, you accept any changes to these Terms of Use. If we update the App, you may be required to download the updates if you want to keep using the App.

 

  1. Authorized Use

As between you and us, we own: (a) the App and all other content provided on or through the App, including all text, photos, videos, templates, images, icons, software, designs, applications, data, and other content and all intellectual property rights in the content.; (b) all tools, hardware and software used to provide the App; and (c) the graphical design, user interface and the look and feel of the App. You may download and print pages from the App provided that you do not modify any of the pages and you do not remove or alter any visible or non-visible identification, marks, notices, or disclaimers. Otherwise, you must not copy, imitate, reproduce, republish, upload, post, transmit, modify, index, catalogue, mirror or distribute the App or its content in any way, in whole or in part, without our prior written consent.

 

You may not, and you agree that you will not, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the App. You may not violate or attempt to violate the security of the App, including, without limitation, unauthorized access to data; circumventing authentication mechanisms; or interfering with the App in any way. Framing, mirroring, scraping or data-mining any of the content displayed on or through the App is prohibited.

 

  1. Security

 

It is your responsibility to keep your phone and access to the App secure. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You are entirely responsible for any and all activities that occur under your account. We will not be liable for any loss, damages, liability or expenses (including legal fees) that you may incur as a result of someone else using your password or account, either with or without your knowledge. We have the right to disable user access to the App, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use.

 

  1. Internet Access

 

Certain functions of the App will require an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider. If you use the app without Wi-Fi, you should remember that your terms of the agreement with your mobile network provider will still apply. You may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the App, or other third-party charges. In using the App, you’re accepting responsibility for any such charges, including roaming data charges if you use the App outside of your home territory without turning off data roaming.

 

 

 

 

J. Severability

In the event that one or more of the words, phrases, sentences, clauses, sections, subdivisions or subparagraphs contained herein shall be held invalid, this Agreement shall be construed as if such invalid portion had not been inserted. In the event that any invalid language is severed under this paragraph, the severed language shall be the minimum possible such that the severance of the unit results in a valid provision (e.g., a single item in a list will be severed rather than the entire list, a clause will be severed rather than the entire sentence, etc.).

 

  1. Entire Agreement

This Agreement sets forth and contains the entire agreement with regard to the matters set forth herein between you and us. There are no promises, terms, conditions, or obligations other than those contained herein. This Agreement supersedes all previous communications, representations, or agreements, either verbal or written, between and among the parties with respect to the subject matter hereof (App access and use).

 2Choice of Law

This Agreement, and any disputes arising from, relating to, or touching upon the Agreement and/or the subject-matter hereof, shall be construed under and governed by the laws of the Province of Ontario, Canada. All contracts resulting from or relating to the App, as well as all information and advice provided herein, shall be deemed to been formed, entered into, executed, and/or given/communicated in the Province of Ontario.

 2. Headings For Convenience Only

The headings used herein are for convenience only. The headings do not purport to define, limit, or extend the scope or intent of the language of the sections and the paragraphs to which they pertain.

 

  1. Waiver

The waiver by one party of a breach of any provision of this Agreement by the other party shall not operate or be construed as a waiver of any subsequent breach of the same or any other provision by the other party. The failure of a party at any time to require performance of any provision hereof shall in no manner affect its right at a later time to enforce the same.

  1. Prohibited Conduct

Use of the App or the corresponding Services for any use or reason other than the intended and permissible uses described or implied herein is expressly prohibited. Any such misuse may constitute violation of provincial and federal civil and criminal laws and may result in civil and/or criminal prosecution.


Furthermore, without limiting other remedies, we may immediately issue a warning and/or temporarily or indefinitely suspend or terminate your privilege to use and access the App if you: (1) breach these Terms of Use; and/or (2) take any action that we believe may result in legal liability for you, for us, or for other App users. we reserves the right to deny access to the App and/or any elements of the App to any person at any time and for any reason, as allowed by law.

 

GOODLIFE FITNESS® (“GOODLIFE”)

VIA Rail – Canadian Train Experience (the “Contest” or the “Promotion”)

Official Rules and Regulations (“Rules”)

 

Participation in the Contest constitutes full and unconditional agreement and acceptance by each Participant of the Rules, which are final on all matters relating to the Contest.

 

The Contest is open to legal residents of Canada, other than residents of Quebec, who are of the age of majority in their respective Province or Territory of residence and are not an associate of GoodLife and who are employees of GoodLife’s Corporate Partners.

 

The Promotion is being run and administered exclusively by GoodLife. VIA Rail Canada Inc. (“VIA Rail”) is solely a prize provider and has no responsibility for any other aspect of the Contest.

 

  1. Start and End Date

The Contest begins at 12:01am (EST) on March 1st, 2026 (the “Contest Start Date”) and ends on April 30th, 2026 at 11:59 p.m. (EST) (the "Contest End Date") (collectively, the “Contest Period”).

 

  1. Prize

There is one (1) Prize package available to be won. The Prize package consists of:

 

PROVIDED BY VIA RAIL (estimate retail value of $8,800.00 CAD):

  • One (1) VIA Rail cabin trip for two people on the Canadian, Vancouver to Toronto or Toronto to Vancouver, One-Way (Sleeper Plus Class - cabin for two);
  • VIA Rail Swag Bag;

 

PROVIDED BY GOODLIFE (estimate retail value of $2,500.00 CAD):

  • $2500.00 CASH (provided by way of an electronic funds transfer); and
  • GoodLife merchandise (to supplement the Swag Bag).

Prize package has an estimate total retail value of $11,300.00 CAD.*

 

Specific Conditions related to the VIA Rail Cabin Trip for Two People

Trip must be completed by May 15, 2027. Trip is considered expired after this date and expiry date cannot be extended. If Prize winner chooses to begin trip from any other station on this route, other than Toronto or Vancouver, the unused trip on that leg is considered forfeited. Trip reservations are subject to availabilities. Trip is valid for travel in Sleeper Plus Class only (excludes Economy and Prestige classes) and upgrade to Prestige class is not allowed.

Inclusions: All meals and non-alcoholic drinks are included. Winner can choose to begin their trip in either Toronto or Vancouver.

Exclusions: All expenses other than the trip onboard the Canadian in Sleeper Plus class for the duration of the trip are the responsibility of the Prize winner and are excluded from the Prize, including without limitation the following:

  • Expenses for travel arrangements to get to Toronto or Vancouver.
  • Expenses for lodging/accommodations in departure and arrival cities (with or without layover).
  • Expenses for alcoholic beverages onboard the Canadian during the duration of the trip.
  • Insurance (including, but not limited to, travel insurance, medical insurance and trip cancelation insurance)
  • Sightseeing tours and other in-destination activities
  • Excess baggage fees
  • Costs associated with obtaining travel documents (including, but not limited to passports and visas)
  • Costs associated with obtaining necessary vaccinations
  • Items of personal nature
  • Additional meals
  • Tips & gratuities

Prize winner and guest must travel together on the same itinerary and are solely responsible for having (and producing if/as required) any necessary travel-related documents (including valid government-issued photo ID and/or any required passport and/or any properly completed and sworn parental consent form or forms) prior to departure, as well as fulfilling any/all travel and security requirements (including but not limited to any shots, medical tests or other health requirements necessary to visit certain destinations and any quarantine requirements that may be required). Each guest (and in the event of a minor, their parent or legal guardian) will be required to execute a guest release prior to the issue of any travel documents. Any and all costs/fees (including, but not limited to taxes or fees, and inspection charges) and expenses not expressly stated as being included in the Prize description are the sole responsibility of the Prize winner. Any difference between the approximate retail value and the actual value of the Prize will not be awarded and any difference will not be refunded. No insurance whatsoever is provided as part of the Prize or furnished by VIA Rail, and obtaining any insurance, such as (but not limited to) travel insurance, cancellation insurance, trip delay, health, accident or medical insurance, and property or luggage loss or other damage insurance is the sole responsibility of the Prize winner and at the sole cost of the Prize winner and that Prize winner’s guest. Rail travel is not continuous and may require winner to obtain one- or two-nights’ lodging between arrival/departure. Reservations must be made and tickets issued prior to travel. Tickets may not be reissued once travel has commenced. Rail schedules are subject to change without notice. VIA Rail will not be liable for any missed opportunities or expenses incurred as a consequence of ground transportation delay. VIA Rail make no express or implied warranties of any kind with respect to safety, or performance, of the trip/travel services package or any component thereof. If the Prize winner (and/or the Prize winner’s guest) is/are not able to participate in any portion of a travel Prize, that unused portion will not be substituted for cash or in any other way. Prize winners may be required to provide a current valid major credit card at time of check-in to cover incidentals, and any and all costs, fees and expenses not expressly stated as being included in the Prize description. Once the Prize winner has identified a guest in accordance with the provisions of these Rules, that guest cannot be changed without the express consent of VIA Rail, which consent may be withheld for any reason. The Prize winner (and in consideration of being permitted to participate in the travel Prize, the guest) agrees to maintain their dress, behaviour and comportment in accordance with all applicable laws and generally accepted social practices in connection with the travel related to the travel Prize. The Prize winner and their guest understand and agree that VIA Rail has the right, in its sole discretion, to disqualify and remove the Prize winner or its guest from any travel at any time if the Prize winner or guest’s behaviour at any point is uncooperative, disruptive or may or does cause damage to person, property or the reputation of VIA Rail and/or any third party, or otherwise violates the policies of VIA Rail. The Prize winner is entirely and solely responsible for the behaviour and comportment of their guest.

Actual cost to GoodLife and VIA Rail may be less.

The Prize is not redeemable for cash or credit in part or whole. The Prize winner or their guest may not sell, transfer or dispose of any part of the Prize to any other person without the GoodLife’s and VIA Rail’s prior written consent which may be withheld in their sole discretion.

 

  1. HOW TO PARTICIPATE:

To enter (an “Entry”):

 

  1. Any individual joining their corporate membership program during the contest timeframe of March 1st – April 30, 2026 will be entered.

 

  1. Alternate Method of Entry (“AMOE”):

Eligible Participants may submit an Entry during the Promotion Period by emailing a submission to the following email address: workplacewellness@goodlifefitness.com. Your email submission should be titled “Workplace Wellness VIA Rail Canadian Train Experience Contest” and must include your name, the name of your organization, email, mailing address, phone number, as well as a statement that you wish to participate in the Workplace Wellness VIA Rail Canadian Train Experience Contest Promotion.

Entries must include all of the required components of an Entry in order to be accepted and entered for the Prize Draw.

Each person submitting an entry is referred to in these Rules as a “Participant”.

Each Participant may submit a maximum of one (1) Entry during the Promotion Period.

No Purchase is necessary to participate in this Contest.

Inappropriate Content: Obscene, provocative or otherwise questionable content will not be considered. GoodLife retains the sole discretion as to what constitutes inappropriate content. By entering the Promotion, Participants agree to have their submitted name and video displayed on GoodLife’s website, social media and marketing channels, and used by GoodLife for any purpose, at any time, without any fee or other form of compensation.

  1. How to Win

The names of the Participants will be entered into a random draw for a chance to win a Prize. One (1) name will be randomly selected.

A random draw (the “Prize Draw”) will be held at 10:00 a.m., local time on the May 5, 2026. The first Participant whose Entry is drawn from each of these clubs, from the validly completed Entries received during the Promotion Period, will be eligible to win a Prize, subject to fulfilment of all of the requirements of this Promotion. Entries must be received during the Contest Period to participate in the Prize Draw. Entries must be completed in full in order to be accepted and entered for the Prize Draw.

GoodLife will attempt to contact the Participant whose Entry is drawn by phone number, social media, address or e-mail address listed on the winning Entry between 9:00 a.m.- 5:00 p.m. (local time), for a period of two (2) days after the Prize Draw date or if any redetermination has occurred, if necessary. If all conditions to receive a Prize are not completely satisfied within the time frame specified above, GoodLife may conduct a further random draw to determine a further potential Prize winner until the available Prize has been awarded. The determination process will continue until the Prize has been awarded, or one (1) month following the Promotion End Date, whichever is sooner.   1. How to redeem the Prize

To redeem the Prize, winning Participant must complete and return the required declaration and release form in accordance with the terms therein. By participating in the Promotion, Participants: (a) agree to comply with and be bound by these Rules and the decisions of GoodLife, which shall be binding and final in all respects; (b) release GoodLife from all liability, loss, harm, damages, cost or expense arising out of participation in the Promotion, participation in any Promotion-related activity or the acceptance, use, or misuse of a Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom, or in connection with the awarding, receipt, possession, use and/or misuse of a Prize; (c) grant to GoodLife the unrestricted right, in GoodLife’s sole discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winning Participant’s name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Promotion and the promotion and exploitation thereof; (d) grant to GoodLife the right to use his/her name, mailing address, telephone number, and e-mail address (“Personal Information”) for the purpose of administering the Promotion, including but not limited to contacting and announcing the winning Participant and agree to be contacted by GoodLife by mail, telephone and/or email; (e) grant to GoodLife the right to use his/her Personal Information for publicity and promotional purposes relating to the Promotion, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; (f) acknowledges that GoodLife may disclose his/her Personal Information to third-party agents and service providers of GoodLife in connection with any of the activities listed in (d) and (e) above; and (g) acknowledges that GoodLife makes no warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to any Prize, and disclaims all liability for the provision, quality or nature of any third-party products or services provided to the winning Participant(s).

 

GoodLife assumes no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete Entries, notifications, responses, replies or any release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an Entry or Entries. GoodLife assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. GoodLife is not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. GoodLife is not responsible for any injury or damage to Participants or to any computer related to or resulting from participating or downloading materials in this Promotion. Participant assumes liability for injuries caused or claimed to be caused by participating in the Promotion, or by the acceptance, possession, use of, or failure to receive a Prize. GoodLife assumes no responsibility or liability in the event that the Promotion cannot be conducted as planned for any reason, including those reasons beyond the control of GoodLife, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of the Promotion.

 

The Promotion is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. All incidental costs and expenses not specifically referred to herein, including but not limited to taxes, (other than GST or HST and PST where applicable which are included in each Prize), are the sole responsibility of each winning Participant. No cash or other substitution may be made, except by GoodLife, who reserves the right, in its sole discretion, to substitute any Prize with another prize of greater or equal value in the event that a Prize is unavailable or cannot otherwise be awarded as described. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or a Prize, as awarded, shall be resolved individually, without resort to any form of class action. Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event legal fees and/or disbursements. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Participant and GoodLife in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules. Should any provision of these Rules be deemed unenforceable or invalid, the other provisions of these Rules shall remain in full force and effect. GoodLife’s failure to enforce any provision of these Rules shall not constitute a waiver of that or any other provision.

 

Each potential winning Participant will be required to sign GoodLife’s form of declaration of compliance and release which confirms compliance with the rules and releases GoodLife from all liability with respect to the Participant’s participation in this Promotion and the awarding, use and misuse of a Prize. The executed declaration of compliance and release must be returned within two (2) business days of the verification as a winner or the selected Participant will be disqualified and the applicable Prize forfeited.
